NON-STOCK ARTICLES OF INCORPORATION
BELLEVILLE AREA CULTURAL FOUNDATION, INC.
Executed by the undersigned for the purpose of forming a Wisconsin corporation under Chapter 181 of the Wisconsin Statutes, WITHOUT STOCK AND NOT FOR PROFIT.
FIRST: The name of the corporation is Belleville Area Cultural Foundation, Inc.
SECOND: The period of existence shall be perpetual.
THIRD: The purposes of the corporation shall be to promote appreciation of the arts, to sponsor artistic performances and exhibits, to further the education of the public in the arts, and to support the maintenance and advancement of cultural values. The activities of the corporation shall generally be performed within the Village of Belleville, Wisconsin and surrounding areas, for the benefit of residents of the Belleville area community. The corporation may engage in any and all lawful activities incidental to the foregoing purposes, and for the administration of its affairs. The corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purposes of the corporation.
FOURTH: No part of the net income of the corporation shall inure to the benefit of or be distributable to its directors, officers, or any private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services actually rendered and to make payments and distributions in furtherance of the purposes and objects set forth in Article Third hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the corporation shall not participate in or intervene in any political campaign on behalf of any candidate for public office.

TENTH: Membership provisions will be set forth by by-law.
ELEVENTH: The corporation is organized exclusively for charitable, educational, religious or scientific purposes within the meaning of § 50l(c)(3) of the Internal Revenue Code.
TWELFTH: Upon dissolution of the corporation, the board of directors shall, after paying or making provisions for the payment of all the liabilities of the corporation, dispose of all the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under § 50l(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States internal revenue law) or to any political subdivision or subdivisions of the State of Wisconsin, as the board of directors shall determine.
